Well it's a bit complicated to explain, so I'll try to be brief. Bear in mind that this is the germanic model of company law, not sure if that's how it works in common law countries.

> they create the statute of the company, fill out the paperwork and then they have to pay a certain amount of money onto a special bank account - that money is the base capital of the company.
> base capital is represented in stocks. 1 stock could be for example $10 worth of base capital, or it could be $10 000. You need to have, by law, a minimal amount of base capital, for example $100 000, which means you'll have 10 000 stocks in the first case, or 10 in the second.
> most of the time the company founders will pay out the entirety of the base capital, thus becoming the only shareholders of the company. Other times they will pay only a fraction and put out a public bid. This way they don't have to shell out as much cash for starting up the company, the downside is they have a smaller part in the company.
in essence the company itself does not own it's own stocks, they are meant to be owned by people or other companies. Thus the need for real buyers and sellers exists, what these guys on 4chan don't seem to understand.
